Fashionphile acquires Two Authenticators

The assets of Two Authenticators (2a) Inc., a wholesale distributor of authenticated, pre-owned luxury vintage with headquarters in Montreal, have been acquired by Fashionphile.

The transaction’s financial details were kept a secret. According to a press release from Fashionphile, the agreement aims to further improve the luxury recommerce platform’s capacity to grow its B2B wholesale and omnichannel operations on an international scale.

After the acquisition, Ben Hemminger, the co-founder and CEO of Fashionphile, will report to Fred Mannella, who was previously the co-founder and chief development officer of LXRandCo, Inc. and co-founder and CEO of 2a. Mannella will join Fashionphile as senior vice president of wholesale.

Mannella created 2a in 2021 with over 30 years of combined experience in pricing, grading, and authenticating products. The company’s goal is to serve luxury vintage retail B2B operations in Canada and the United States. The company currently has over 20 partners in omnichannel retail, traditional locations, and e-commerce.

“We continue to be excited about the opportunity to diversify our omnichannel operations and enter the secondhand wholesale market in the U.S. and internationally,” Hemminger stated.

“By acquiring 2a and adding Fred Mannella to our team as one of the world’s leading luxury vintage experts, we are well positioned to enter this new phase of growth as we look to provide trusted, authenticated, branded accessories to all sectors of the growing market for secondhand luxury.”

This transaction follows Fashionphile’s 2023 acquisition of LXR.

A notice of intention to make a proposal under the Bankruptcy and Insolvency Act (Canada) was filed by the Canadian omni-channel retailer of pre-owned luxury accessories in November of last year. As part of the deal, Fashionphile obtained the inventory, intellectual property assets, including domains, and other intangible assets of the retailer.
